1. Definitions & Roles

  • "Provider": Refers to Syllabax (us), the creators of the software.
  • "Subscriber": Refers to the Educational Institution (School) purchasing the service.
  • "End User": Refers to students, parents, and teachers accessing the platform.

Role Clarification: Syllabax acts as a Data Processor. The School acts as the Data Controller (Data Fiduciary under DPDP Act 2023) and retains full ownership and legal responsibility for all data entered into the system.

2. Compliance & Sensitive Data

The Subscriber acknowledges they are solely responsible for complying with the Aadhaar Act (2016) and DPDP Act (2023) regarding student data.

  • Consent: The School warrants that it has obtained written consent from parents to store Aadhar cards, Birth Certificates, and academic records on a third-party cloud platform.
  • Prohibited Content: The School shall not upload data that is illegal, harmful, or violates the intellectual property rights of others.

3. School Fee Collection (Payment Gateways)

The Platform allows the School to integrate third-party payment gateways (e.g., Razorpay, Stripe) to collect fees directly from students.

  • Direct Transaction: Syllabax is not a party to financial transactions between the School and Students. We do not hold, route, or settle funds.
  • Credentials: The School is responsible for maintaining the security of their Payment Gateway API Keys.
  • Disputes: Syllabax is not liable for transaction failures, refunds, or chargebacks. All financial disputes must be resolved directly between the School and the Payment Provider.

4. Subscription & Billing

The School agrees to pay the subscription fees as per the agreed plan (Monthly/Yearly).

  • Non-Payment: Service access may be suspended if invoices remain unpaid for more than 15 days past the due date.
  • No Refunds: Subscription fees paid to Syllabax are non-refundable once the service period has commenced.

5. Service Availability (SLA)

We host data on Microsoft Azure (Central India). While we aim for 99.9% uptime, we do not guarantee uninterrupted service. We are not liable for downtime caused by:

  • Planned maintenance (notified 24h in advance).
  • Azure region outages or Force Majeure events.
  • The School's internet connectivity issues.

6. Limitation of Liability

To the maximum extent permitted by law, Syllabax shall not be liable for any indirect, incidental, or consequential damages (including loss of data or revenue). Our total liability shall not exceed the amount paid by the Subscriber in the three (3) months preceding the claim.
